    PREFERENCE SHARES AS A SOURCE OF CAPITAL*

    Every company requires capital for growth. A company may raise capital through equity and/or debt. Preference shares, as a hybrid sharing attributes of both, can be a useful source of capital for companies.

    The preference share is a share, by whatever name called, which does not entitle the holder to the right to vote on a resolution or to any right to participate beyond a specific amount in any distribution whether by way of dividend, or on redemption, in a winding-up, or otherwise.[1] A company may issue preference shares if it has been provided for in the company's constitution. The constitution must set out the rights of the preference shareholders in respect of repayment of capital, participation in surplus assets and profits, voting rights and priority of payment of dividends.[2]

    Quality Assurance Mechanism of Legal Education in Pakistan: An Overview

    Abstract

    One of the main factors in determining the position of a nation across the world is the quality of its higher education specifically legal education. Legal education is considered as the backbone of the justice system of a country. Good quality legal education provides good lawyers and good judicial officers that support the judicial system which inevitably boosts the economic conditions of the country. Concerns with regards to the quality of legal education is being debated around the world. The same issues are also of concern in Pakistan. Legal education in Pakistan is regulated by the Pakistan Bar Council (PBC) and Higher Education Commission (HEC). PBC is the supreme body of elected lawyers while HEC is the institution that oversees the higher education in the country under the Government of Pakistan. Legal education in Pakistan is seen to be declining and this is evidenced in a recent case where a three-judge bench headed by the Chief Justice of Pakistan heard a suo motu case at the Supreme Court (SC) Lahore Registry regarding the quality of legal education in Pakistan where the SC had commissioned a committee to identify reforms needed in universities imparting legal education. In view of this, the current doctrinal research analyses the roles and responsibilities of the governing authorities (PBC & HEC) to evaluate the strengths and weaknesses with a view to address and strengthen via recommendations the quality assurance mechanism of the existing legal education system in Pakistan.

    Abstract

    This paper will critically examine the issues related to international arbitration currently in vogue in India to advocate that the Indian Act as amended in 2015 may stand as supreme in contrast to the Acts of countries which have only accepted the Model Law without any robust modification. In addition, this paper will recommend that disciplinary mechanism is a must to check misconduct of arbitrators and to uphold the integrity of the process. The paper identifies areas where the new amendments to the Indian Arbitration Act 1996 have introduced salutary practices that are worth emulating in other jurisdictions. These areas include timeliness in the application for appointment of arbitrators, fast-track arbitration, clarity on interim measures, control of the fee structure, further limiting court's intervention, timely delivery of the arbitral award, fees, reward and penalty, enforcement proceedings and disciplinary mechanism for arbitrators.
